The incorporation of the abovementioned wholly owned subsidiary in USA will expand the business opportunities of the Company. Milestone Global has informed that the Company is covered under the exemption under Regulation 15(2) of the SEBI (LODR), 2015 pursuant to which the provisions of Regulation 23 of the said Regulation are not applicable to our Company. The paid up capital of the Company is Rs 5,01,75,000 and the net worth of the Company is Rs 8,84,95,354 as on 31st March, 2023, which is less than Rs 10 crores (for paid up capital) and Rs 25 crores(for net worth) as prescribed under Regulation 15(2) of SEBI (LODR), 2015. Based on the exemption granted to certain listed companies in terms of the said Regulation 15(2), the Company is exempted to comply with provisions of Regulation 23 of SEBI (LODR), 2015 and hence also exempt from submission of disclosure of Related Party Transactions as envisaged in Regulation 23(9) of SEBI (LODR), 2015. Therefore, the disclosure of Related Party Transactions as envisaged in Regulation 23(9) of SEBI (LODR), 2015 for the period ended 31st March 2024 is not applicable to the Company for the period ended 31st March, 2024.
