In continuation to letter dated August 16, 2023 disclosing the list of pending/ongoing litigations/ cases of the Company which became material consequent to the notification of SEBI (LODR) (Second Amendment) Regulations, 2023 and the applicability of guidelines for determining materiality of events or information, Barbeque-Nation Hospitality has informed that the Company has received an order from the Joint Commissioner of Commercial Taxes (Appeals-3), Bengaluru, accepting contentions of the Company against the order passed by the Deputy Commissioner of Commercial Taxes, (Audit)-3.10, Bangalore. The Company received the afore-mentioned order yesterday March 7, 2024 via email. The details as required under SEBI Circular No. SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated July 13, 2023 with respect to update on pending/ongoing material litigations/cases is enclosed as Annexure –A.

Barbeque-Nation Hospitality and its subsidiary -- Red Apple Kitchen Consultancy have executed Share Subscription & Share Purchase agreement and Shareholders’ agreement to acquire 5,800 equity shares constituting 53.3% of paid-up share capital of Blue Planet Foods (Blue Planet). Out of 5,800 equity shares, Barbeque-Nation Hospitality will acquire 1,282 (11.77%) equity shares, while Red Apple Kitchen Consultancy will acquire 4,518 (41.49%) equity shares. Consequent to the aforesaid acquisition, Blue Planet will become a subsidiary of the Company.

Blue Planet runs an a-la-carte pan Indian cuisine restaurant chain under the brand name ‘SALT’. SALT is a smart casual dining restaurant serving authentic Indian cuisine. The proposed acquisition will complement the Company’s existing offerings and will also expand its Brand portfolio.

Barbeque-Nation Hospitality is one of the leading casual dining chains in India, the company pioneered the concept of 'over the table barbeque' live grills embedded in dining tables - allowing guests to grill their own barbecue’s right at their tables.
