With reference to its previous intimation dated February 06, 2024 regarding sale of LLC Business on a going concern basis by way of slump sale for a lump sum consideration to Aparajitha Corporate Services (‘Purchaser’) as per executed Business Transfer Agreement (‘BTA’) and a subsequent intimation dated March 29, 2024 updating the closing date of the said transaction to be April 30, 2024. In continuation to the above communications and in compliance with Regulation 30 read with Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (‘Listing Regulations’), Allsec Technologies has informed that the closing date actions have been satisfied on May 01, 2024 and the closing of the transaction is effective from April 30, 2024, as per the terms and conditions of the BTA/ its amendments. The information as required under Regulation 30 and Schedule III of the Listing Regulations read with SEBI Master Circular no. SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated July 13, 2023 has been informed vide its letter dated February 06, 2024, which is enclosed (Annexure A). Allsec Technologies has entered into a Business Transfer agreement for sale of its Labour Law Compliance Business (LLC or Business) to Aparajitha Corporate Services (Aparajitha), one of India’s largest Regulatory and Social Compliance solution providers. The deal is valued at an Enterprise Value of Rs 27 crore, on a cash and debt free basis, subject to closing adjustments and fulfilment of conditions set out in the transaction document. The expected date for completion of the sale is close of business hours on March 31, 2024 or any such date as mutually agreed between the parties.
