Sanghvi Movers has received approval to incorporate wholly owned subsidiary (WoS) of the Company. The proposed WOS will carry on the business related to provide full-fledged turnkey services to Independent Power Producers (IPP) right from Conceptualization to Commissioning of wind turbine generator (WTG). The business of the proposed WOS is not outside the main line of business of the Company.

The company will be paying cash consideration to the proposed WOS towards subscription of 100% shareholding. The Board of Directors of the Company at its meeting held on March 05, 2024 has approved the same.

Pursuant to Regulation 29 and 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, Sanghvi Movers has informed that a meeting of the Board of Directors of the company will be held on Wednesday, 07 February 2024, to consider and approve the Unaudited Financial Results for the quarter and nine months ended 31st December 2023. The intimation towards closure of trading window has already been submitted to the stock exchanges vide letter no. SML/SEC/SE/23-24/65 dated 28 December 2023. The Company has already communicated about closure of trading window to the designated persons in accordance with the Code of Conduct of the Company. In terms of SEBI (Prohibition of Insider Trading) Regulations, 2015, Bombay Stock Exchange (BSE) and National Stock Exchange (NSE) circular/s) and Code of Conduct of the Company, the Trading Window for dealing in the Securities of the Company is closed with effect from Monday, 01 January 2024 until 48 hours after the declaration of the Unaudited Financial Results of the Company for the quarter and nine months ended on 31 December 2023, i.e. up to Friday, 09 February 2024. In terms of amendment in Regulation 47 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, there shall be no publication of notice of Board Meeting in the newspapers.
