NO.FORBES & COMPANY LTD.(502865)07/03/2024 As per Scheme of Arrangement (for Demerger) sanctioned by the Honble National Company Law Tribunal, Mumbai Bench V, between, FORBES COMPANY LTD, (Demerged Company) and Forbes Precision Tools and Machine Parts Limited (Resulting Company) and Their Respective Shareholders and Creditors; Demerger of Precision Tools Business (Demerged Undertaking) : Upon the coming into effect of the aforesaid Scheme and in consideration of the transfer and vesting of the Demerged Undertaking being the Precision Tools Busines of Forbes Company Limited INTO Forbes Precision Tools and Machine Parts Limited; Forbes Precision Tools and Machine Parts Limited shall issue and allot Equity Shares to the eligible Shareholders of Forbes Company Limited in the following proportion:- “4 (Four) fully paid-up Equity Shares of Rs.10/- each of Forbes Precision Tools and Machine Parts Limited shall be issued and alloted for every 1 (One) fully paid-up Equity Share of Rs.10/- each held in Forbes Company Limited”07/03/2024DR-734/2023-2024 Note: (1) Pursuant to SEBI Circular No. SEBI/Cir/ISD/1/2010 dated November 2, 2010, Trading members are hereby informed that the trading in the Equity Shares of the aforesaid Company shall be transferred from ‘X’ group to ‘XT’ group w.e.f. 07th March, 2024, and (2) Pursuant to SEBI Circular No. CIR/MRD/DP/01/2012 dated January 20, 2012, the aforesaid scrip shall be a part of Call Auction in Pre-open Session (Special Pre- open Session (SPOS)) on 7th March, 2024.
