Pursuant to Regulation 29 of SEBI (Listing Obligations and Disclosure Requirements), Regulations, 2015, Pokarna has informed that the meeting of the Board of Directors of the Company is scheduled to be held on 16th May, 2024, Thursday, to: a) consider, approve and take on record Audited Standalone and Consolidated Financial Results of the Company for the quarter ended 31st March, 2024, pursuant to Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015; b) consider, approve and take on record Audited Standalone and Consolidated Financial Statements of the Company for the year ended 31st March, 2024, pursuant to Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015; c) consider the recommendation of final dividend, if any, on the Equity Shares of the Company, for the year ended 31st March, 2024; Further as already informed earlier vide its letter dated 26th March, 2024, pursuant to the Company’s code of conduct for prohibition of insider trading (‘the code’), the trading window dealing in the equity shares of the Company shall continue to remain closed from 01st April, 2024 till 48 hours after declaration of financial results of the company for the quarter and Financial year ended 31st March, 2024 and final dividend for FY 2023-2024, if any, to the stock exchanges.

In Compliance of Regulation 30 read with Schedule III of the Listing Regulations and in continuation to earlier intimation dated November 07, 2023, Pokarna has informed that it enclosed the Notice of Postal Ballot dated February 17,2024 along with Explanatory Statement, seeking consent/approval of the Members for the Resolutions as mentioned in the said Notice, by means of Postal Ballot through remote electronic voting (‘E-voting’). The Notice of Postal Ballot has been sent today Wednesday, February 21,2024, by email only to the Shareholders whose names appear in the Register of Members/List of Beneficial Owners as on Friday, February 16,2024 i.e., cut-off date and who have registered their e-mail addresses with the Company/Registrar and Transfer Agent of the Company/Depositories as on the cut-off date. The Company has engaged the services of KFin Technologies to provide the E-voting facility to all its members. The E-voting shall remain open from 09.00 am (IST) Monday February 26,2024 to 05.00 pm (IST) on Tuesday March 26,2024. The Postal Ballot Notice along with Explanatory Statement is also being made available on the website of the Company at www.pokarna.com and KFIN at https://evoting.kfintech.com.
