With reference to its earlier announcement dated March 18, 2024, wherein it was informed that the Board of Directors of the Company had approved the appointment of Dhananjay Mungale (DIN: 00007563) as an Independent Director of the Company for a term of 5 years with effect from 18th March,2024 subject to shareholders’ approval through Postal Ballot. In terms of Regulation 30 of SEBI Listing Regulations, NGL Fine-Chem has informed that it enclosed Postal Ballot Notice for seeking approval of the Members by way of Special Resolution. In compliance with the provisions of the General Circular No. 09/2023 dated September 25, 2023 and other relevant Circulars issued by the Ministry of Corporate Affairs from time to time, this Notice is being sent only through electronic mode to all the members whose e-mail ids are registered with the Company/Depositories and whose names appear in the Register of Members of the Company or Register of Beneficial Owners maintained by the Depositories as on Friday, March 15, 2024 (‘Cut-off date’’). The Company has engaged the services of Central Depositories Services (India) to provide a remote e-voting facility to its members. The remote e-voting shall commence on Wednesday, March 20, 2024 (9:00 am IST) and shall end on Thursday, April 18, 2024 (5:00 pm IST).
